DELL Inc. no longer offered ESPP (Employee Stock Purchase Program) for its employees

NASDAQ/NYSE February 14th, 2008

DELL Inc. no longer offered ESPP (Employee Stock Purchase Program) for its employees.

The following is an internal email being distributed to Dell’s employees:

“We are now able to inform you that the special restrictions that affected your participation and the ability to sell certain shares in the Employee Stock Purchase Plan (ESPP) will be lifted effective Feb. 15. You will be able to sell any ESPP shares you currently own as of Feb. 15, subject to any trading window or other restrictions that may apply to you.

Any shares you currently own in the ESPP program will remain in your account until you decide to either sell or transfer them. For more information on the other programs impacted by the Oct. 30 SEC filings, visit One Dell Way.

Future Participation in the ESPP
After assessing our benefits strategy and the new accounting and regulatory changes that impact ESPP programs, we have made the decision to discontinue the Dell ESPP. This means you will no longer be able to purchase shares of Dell stock through the ESPP.

This decision was not made lightly. The difficult reality is that the cost of administering the ESPP now exceeds its quantitative benefit due to complex new regulatory and administrative requirements. We also considered a number of other factors when making this decision, including business objectives, legal requirements, cost effectiveness and market competitiveness. This change and others we’ve made this past year are a part of our constant evaluation of Dell Rewards programs for impact and alignment with what you value. “
